These terms govern your use of Lumo's rideshare advertising platform. Please read them carefully before using our services.
1. Definitions
- "Platform" means Lumo's rideshare advertising platform, including the web dashboard and mobile applications
- "Advertiser" means any person or entity that creates advertising campaigns on the Platform
- "Driver" means verified ride-hailing drivers who participate in advertising campaigns
- "Campaign" means advertising content and associated targeting parameters created by Advertisers
- "Content" means any text, images, videos, or other materials uploaded to the Platform
- "Services" means all features and functionality provided by Lumo through the Platform
- "Display Device" means in-car advertising screens and related equipment installed in vehicles
2. Acceptance of Terms
By accessing or using Lumo's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, you may not use our services.
3. Account Creation and Eligibility
3.1 General Requirements
- You must be at least 18 years old to use our services
- You must provide accurate and complete information
- You are responsible for maintaining account security
- One person or entity may not maintain multiple accounts
3.2 Advertiser Requirements
- Must be at least 18 years old (individuals) or legally registered entity (businesses)
- Must provide valid registration and tax information if applicable
- Must have legal right to advertise products or services
- Must comply with advertising standards and regulations
3.3 Driver Requirements
- Must be an active, verified driver on recognized ride-hailing platforms
- Must provide valid driver's license and vehicle registration
- Must maintain appropriate insurance coverage
- Vehicle must meet platform technical requirements for display device installation
- Must agree to display device installation and security protocols
4. User Responsibilities
4.1 Advertiser Responsibilities
- Ensure all advertising content is legal, accurate, and non-misleading
- Respect intellectual property rights of third parties
- Make timely payments for advertising services
- Comply with applicable advertising laws and regulations
- Provide clear and accurate campaign targeting parameters
4.2 Driver Responsibilities
- Maintain vehicle and display equipment in good working condition
- Ensure advertising displays remain visible and unobstructed
- Not disable or interfere with GPS tracking during active campaigns
- Report technical issues or equipment failures promptly
- Comply with local traffic and advertising regulations
- Protect display devices from theft and damage
- Immediately report any theft, damage, or tampering attempts
5. Equipment and Theft Protection
5.1 Display Device Installation
- All display devices are installed inside vehicles by authorized technicians
- Devices are securely mounted to prevent theft and unauthorized removal
- Installation includes GPS tracking and tamper detection systems
- Drivers must not attempt to remove or modify installed equipment
5.2 Theft Protection and Security
- All devices are equipped with anti-theft monitoring systems
- Real-time alerts are sent for unauthorized tampering or removal attempts
- Drivers must immediately report any theft or security incidents
- Law enforcement cooperation is required for theft recovery
5.3 Driver Liability for Equipment
- Drivers are responsible for reasonable care of installed equipment
- Negligence or failure to report incidents may result in replacement charges
- Insurance claims must be filed for theft or damage incidents
- Lumo reserves the right to recover costs for preventable losses
6. Advertising Content Policies
The following content is prohibited on our platform:
- Illegal products or services
- Hate speech, discrimination, or harassment
- Adult content or sexually explicit material
- Political advertisements (unless specifically permitted)
- Misleading or deceptive claims
- Content that violates intellectual property rights
- Violent or disturbing imagery
- Tobacco, alcohol, or controlled substances (subject to restrictions)
7. Payment Terms
7.1 Advertiser Payments
- Campaign fees are due in advance or according to agreed payment schedule
- All prices are in South African Rand (ZAR) and include applicable VAT
- Late payments may result in campaign suspension
- Refunds are subject to our refund policy
7.2 Driver Payments
- Payments are calculated based on kilometers driven, impressions generated, or campaign milestones
- Lumo retains a service fee of 15-25% of gross earnings
- Payments are processed monthly via bank transfer
- Minimum payout threshold is R500
8. Platform Availability and Limitations
We strive to provide reliable service but cannot guarantee 100% uptime. Services may be temporarily unavailable due to maintenance, technical issues, or circumstances beyond our control. GPS tracking may be limited in certain areas or weather conditions.
9. Intellectual Property
- Advertisers retain ownership of their advertising content
- Lumo owns all rights to the platform software and dashboard
- Users grant Lumo a license to use their content for service delivery
- Users must respect third-party intellectual property rights
10. Suspension and Termination
We may suspend or terminate accounts for:
- Violation of these terms or our policies
- Fraudulent activity or payment disputes
- Inactivity for extended periods
- Legal or regulatory requirements
Account Termination Process
We will provide reasonable notice before termination unless immediate action is required for legal or security reasons. You may appeal termination decisions by contacting our support team.
11. Liability and Disclaimers
Lumo's services are provided "as is" without warranties. We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount paid for services in the 12 months preceding the claim.
12. Indemnification
Users agree to indemnify and hold Lumo harmless from claims arising from their use of the platform, violation of these terms, or infringement of third-party rights.
13. Changes to Terms
We may modify these terms at any time. Significant changes will be communicated via email or platform notifications. Continued use of the platform after changes constitutes acceptance of the new terms.
14. Dispute Resolution
These Terms shall be interpreted in accordance with the laws of the Republic of South Africa. Any claims, legal proceeding or litigation arising in connection with these Terms shall be subject solely to the jurisdiction of the courts of the Republic of South Africa.
